Terms of Service

1. The Site

The Site provides information about OntoRoot, our semantic layer and knowledge-graph product, and our Design Partner Program. Unless we sign a separate written agreement with you, nothing on the Site grants a license to our software, models, or proprietary methods.

2. Eligibility

The Site is intended for individuals who are at least 18 years old and who are acting on behalf of themselves or an organization. If you use the Site for a company, you represent that you have authority to bind that organization to these Terms.

3. Design Partner Program requests

Submitting the contact form is a request to be contacted only. It does not create a partnership, customer relationship, or obligation on either side. Acceptance into any program, pilot, or paid engagement requires a separate written agreement. We may decline or discontinue discussions for any reason.

4. Acceptable use

You agree not to misuse the Site, including by attempting to gain unauthorized access, disrupt or overload infrastructure, scrape the Site in violation of our robots rules, submit false or misleading information through forms, or use the Site for any unlawful purpose. We may suspend or block access if we believe you have violated these Terms.

5. Intellectual property

The Site and its content (including text, graphics, logos, and layout) are owned by OntoRoot or our licensors and are protected by intellectual property laws. You may view and print a reasonable number of copies for internal business use; you may not copy, modify, distribute, or create derivative works except as allowed by law or with our prior written consent.

6. Third-party services

The Site may link to third-party websites or rely on service providers (for example, form delivery). Those services have their own terms and privacy policies. We are not responsible for third-party content or practices.

7. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. INFORMATION ON THE SITE IS FOR GENERAL INFORMATION AND MAY CHANGE WITHOUT NOTICE.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL OntoRoot, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (USD $100) OR (B) THE AMOUNTS YOU PAID US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS BEFORE THE CLAIM (WHICH MAY BE ZERO FOR FREE USE OF THE SITE).

Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted by law.

9. Indemnity

You will defend, indemnify, and hold harmless OntoRoot and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your misuse of the Site, violation of these Terms, or violation of any third-party right.

10. Governing law and venue

These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-law principles. Except where prohibited by applicable law, you agree that exclusive jurisdiction and venue for disputes related to the Site or these Terms shall be in the competent courts located in Tel Aviv-Yafo, Israel, and you waive any objection to jurisdiction or venue there.

11. Changes

We may modify these Terms at any time by posting an updated version on this page and updating the “Last updated” date. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms. If you do not agree, stop using the Site.
